This Legal Counsel role will support Volta's Executive team and Legal / Compliance team in drafting, reviewing, and negotiating the agreements that underpin the company's fundraising, strategic direction and operations — from capital raises with investors / debt financings, vendor / procurement contracts to customer / partnership agreements.
This role works also closely with the Delivery, Procurement, and Corporate Development teams across a fast-moving infrastructure business, and is well suited to a lawyer who enjoys getting close to the commercial detail.
What You Will Be Doing
Draft, review, and negotiate a wide range of commercial contracts, including vendor, procurement, and customer agreements, factoring in commercial risk, operational requirements, and bankability considerations for financing
Advise internal stakeholders on contractual risk, obligations, and negotiation strategy
Support procurement and delivery teams on equipment, construction, and services agreements for data center projects
Assist with corporate and structuring functions (entity structuring / formation, corporate workflows, governance negotiations)
Maintain and improve contract templates, playbooks, and approval workflows
Track contractual obligations and support compliance with commercial terms
Collaborate with the General Counsel / VP Legal on regulatory, tax and policy matters as needed
Support due diligence for partnerships, financings, and other transactions
Stay current on relevant legal and regulatory developments affecting the business
What You Bring
4+ years of experience as a commercial lawyer, in-house or at a law firm, ideally supporting infrastructure, technology, or energy clients
J.D. and active bar membership in a relevant jurisdiction (US / England)
Strong commercial contract drafting and negotiation skills
Experience with vendor, procurement, or construction-related agreements is a plus
Ability to manage a high volume of contracts and competing priorities
Excellent judgment, attention to detail, and communication skills
Comfortable working directly with business stakeholders outside of Legal
Experience working in a fast-paced, high-growth environment
