We’re financing the future of energy
Crux is the capital platform for clean and critical infrastructure. We combine advisory, investments, markets, and research with proprietary intelligence and technology to modernize capital raising and deployment.

Our team is composed of experts in energy, tax, finance, government, and technology. We have raised $77 million in capital from some of the best investors, including Andreessen Horowitz, Lowercarbon Capital, New System Ventures, Overture, Ardent Venture Partners, QED, Canapi, and others. These funds are joined by strategic investors including Pattern Energy, Clearway Energy, EDF Renewables, Intersect Power, LS Power, Orsted, Hartree Partners, Liberty Mutual Strategic Ventures, MassMutual Ventures, and OMERS Ventures.

The opportunity

Crux is seeking an Assistant General Counsel, Transactions — a mid-level project finance lawyer who will serve as the day-to-day transactional attorney across Crux’s investment and financing activity. The role covers the full range of transactions Crux originates, structures, and executes: tax equity and preferred equity investments, transferable tax credit purchases and forward commitments, and debt facilities, as well as Crux’s own corporate-level financings and strategic transactions.

You will manage transactions from term sheet through closing and post-closing administration, working with Crux’s Investments, Coverage, Debt Advisory, and Portfolio Management teams and managing outside counsel where appropriate. You will also support the General Counsel and Associate General Counsel on corporate-level matters, so the role offers significant breadth.

Crux Legal approaches each transaction as an opportunity to improve the next one: standardizing documents, developing playbooks and checklists, and building and using AI tools for diligence, drafting, closing, and portfolio management. We are looking for a lawyer who already works this way and wants to do a lot more of it.

Responsibilities

  • Execute Crux’s investment transactions. Lead the legal workstream on tax equity (partnership flip, T-flip, and hybrid structures), preferred equity, and transferable tax credit transactions: term sheets, LLC agreements, equity capital contribution agreements, tax credit transfer and forward purchase agreements, guaranties, and closing deliverables. Drive checklists, manage timelines, and close deals.

  • Support debt financings. Work on the debt that sits alongside Crux’s investments and on Crux’s own facilities: construction, bridge, back-leverage, and warehouse financings, including credit agreements, intercreditor and forbearance arrangements, borrowing base and draw mechanics, and lender consents.

  • Lead legal diligence and issue-spotting. Review project documents (offtake, EPC and supply, interconnection, real estate, permits), tax credit qualification items (beginning of construction, prevailing wage and apprenticeship, domestic content, energy community, recapture), insurance, and sponsor/counterparty matters. Distill findings into clear risks and mitigants for investment committee materials.

  • Own the post-closing legal workstream. Handle funding conditions, amendments, consents, waivers, and reporting obligations across the portfolio with Portfolio Management.

  • Manage outside counsel efficiently. Decide what gets done in-house versus by outside counsel, scope and supervise their work, and keep fees proportional to the transaction.

  • Support corporate-level matters. Assist the General Counsel and Associate General Counsel on a range of corporate matters as needed, including corporate financings, strategic transactions and joint ventures, entity formation and maintenance, corporate governance, regulatory matters, intellectual property, and commercial agreements.

  • Standardize documents and processes. Maintain and improve Crux’s forms, playbooks, checklists, and closing sets, and identify and address inefficiencies in deal processes.

  • Develop and apply AI tools. Work with Crux’s legal innovation, operations, product, and engineering teams to develop and deploy AI tools for diligence review, document drafting and comparison, and closing workflows. Apply them on live transactions, assess their effectiveness, and refine them over time.

  • Partner with the business. Participate in deal discussions with Investments, Coverage, Debt Advisory, and Portfolio Management teams, translate legal issues into commercial terms, and help the business make well-informed decisions. Identify regulatory considerations where transactions involve Crux’s broker-dealer and investment adviser affiliates, and escalate to the General Counsel and Compliance as appropriate.

Qualifications

  • 3-6 years of transactional experience, with a significant portion in the projects, energy, or infrastructure finance practice of a leading law firm. In-house experience at a developer, investor, or lender is a plus but not required.

  • Hands-on experience with tax equity, transferable tax credit transactions, and debt financings for renewable energy and infrastructure projects. You should be able to draft from a term sheet, negotiate a full document set, and drive to closing with limited supervision.

  • Working fluency in the federal energy tax credit framework (Sections 45, 48, 45Y, 48E, 45X, and 6418), including qualification, bonus adders, and recapture risk, and the judgment to know when to bring in tax counsel.

  • Practical experience using AI in legal practice. You have adopted or built tools and workflows, can describe concretely what worked and what did not, and are interested in redesigning how transactions are done, not simply doing them faster. This role requires demonstrated experience rather than general openness to learning AI tools.

  • Ownership and judgment. You take responsibility for outcomes, make pragmatic risk-weighted calls informed by business needs, and know when to escalate.

  • Clear communication with lawyers and non-lawyers, in writing and in real time. You can explain a complicated structure to an investment principal in plain terms and hold your own with counterparty counsel.

  • Comfort with pace and ambiguity. You work effectively on several transactions at once, build process where none exists, and are comfortable fielding questions from across the business.

  • JD and admission in good standing to the bar of at least one U.S. state (New York or DC preferred), with eligibility for in-house registration where required.

Who thrives here

Crux is highly cross-functional. Legal works alongside Investments, Coverage, Finance, Product, and Compliance, and this role suits someone who wants to be involved when deals are shaped, not only when documents are drafted. Decisions are often made collaboratively, which can take longer than a top-down process but generally produces better and more durable outcomes.
