Team & Position Details:

As Counsel supporting Government Contracts & Public Sector, you will be reporting to the SVP & General Counsel. We are seeking a lawyer with substantial government contracts experience to help grow our public sector business. You will work directly with the General Counsel and partner with our public sector, sales, finance, security, product, and engineering teams. The role offers meaningful responsibility for negotiations, practical compliance advice, and decisions affecting how a technology company serves government customers. You will lead day-to-day legal support for U.S. public sector contracting, with particular emphasis on federal subcontracts, software licensing, and relationships with prime contractors, systems integrators, resellers, and other partners. You will help colleagues understand which government requirements apply to Virtru, negotiate appropriate commitments, and translate those commitments into workable business practices. This is a hands-on individual contributor position. We value careful legal analysis, strong drafting, sound judgment, and the ability to resolve issues independently while recognizing when to escalate them.

As Counsel, your responsibilities will include:

  • Draft, review, and negotiate government subcontracts, software and SaaS agreements, teaming agreements, nondisclosure agreements, reseller and distribution agreements, and related public sector transactions.
  • Analyze FAR, DFARS, and agency-specific provisions, including the applicability and scope of proposed flow-down requirements to commercial software and services.
  • Support proposals and solicitations by reviewing legal terms, representations and certifications, eligibility requirements, and contractual risks. Partner with business and finance teams on pricing-related legal requirements.
  • Advise on contract administration, modifications, renewals, performance issues, disputes, and termination rights.
  • Work with security and compliance colleagues on contractual and regulatory requirements involving controlled unclassified information, cybersecurity, incident reporting, CMMC, and applicable NIST standards.
  • Advise on procurement integrity, organizational conflicts of interest, gifts and business courtesies, former government personnel restrictions, and other government contracting ethics requirements.
  • Identify and advise on export control and sanctions issues, including ITAR and EAR requirements, coordinating with specialist counsel when appropriate.
  • Support responses to customer inquiries, audits, investigations, and potential compliance concerns, working with the General Counsel and relevant internal teams.
  • Monitor relevant legal and regulatory developments and explain their practical consequences for Virtru’s contracts, products, and business operations.
  • Develop contract templates, negotiation guidance, training, and practical compliance resources that help colleagues handle recurring issues consistently.
  • Support state and local government and education transactions, and other commercial legal matters, as business needs require.
  • Juris Doctor from an accredited law school.
  • Active membership in good standing in at least one U.S. state bar or the District of Columbia, and the ability to satisfy any applicable in-house counsel registration or other practice requirements where you work.
  • At least five years of relevant legal experience advising on U.S. government contracts, gained in a law firm, government agency, corporate legal department, or a combination of these settings.
  • Substantial experience drafting and negotiating federal contracts or subcontracts, including experience advising technology companies or negotiating software, SaaS, cloud, or related technology transactions.
  • Strong working knowledge of the FAR and DFARS, including commercial product and service contracting, subcontract flow-downs, and government rights in software and technical data.
  • Experience advising on government contracting compliance and translating legal requirements into clear recommendations and operational guidance.
  • Strong drafting, negotiation, analytical, and communication skills.
  • Ability to manage competing priorities, exercise independent judgment, and work effectively with colleagues across legal, technical, and business functions.

Preferred Experience:

  • Advising a software, cybersecurity, cloud, or other technology business serving federal customers.
  • Negotiating with federal prime contractors, systems integrators, and public sector channel partners.
  • Working with defense or intelligence community customers.
  • Advising on CUI, CMMC, federal cybersecurity requirements, export controls, or classified-contract requirements.
  • Supporting state and local government or education contracting.
  • Developing legal templates, training, or compliance processes for a growing business.

Additional perks include:

  • Competitive compensation
  • Generous parental, medical, and bereavement policies
  • Uncapped commissions for Sales roles
  • 401K contribution and stock options
  • Full medical, dental, and vision benefits
