The Role
We are looking for a Procurement Legal Counsel to join our Procurement team to support the drafting, review and negotiation of procurement contracts across Volta's global portfolio. You will report directly to the VP, Vendor Procurement and work day to day with the Regional Procurement Directors and Category Managers in EMEA and AMER, taking agreements from first draft through to signature, from MNDAs and MSAs to frameworks.
You will work from Volta's approved templates, negotiation playbooks and fallback positions, and escalate non-standard legal risk to the VP Vendor Procurement/Legal team and/or external counsel rather than determining it yourself. It is also a first of fleet role: you will help build the templates, playbooks and contract records.
What You Will Do
Prepare, review and negotiate mutual and one way NDAs with prospective suppliers, contractors and consultants, turning them around quickly so sourcing activity is never held up
Draft and negotiate Master Services Agreements, supply agreements and their associated order forms, statements of work and purchase order terms, working from Volta's approved templates
Support the Regional Procurement Directors in preparing and negotiating regional framework agreements, including (not limited to) call off mechanisms, pricing schedules, service levels and performance terms
Support the Delivery Contracts team to prepare and manage construction and project agreements, including standard form contracts such as NEC, JCT, FIDIC and AIA
Review supplier and contractor markups against Volta's playbook, prepare issues lists, recommend positions within agreed fallbacks and facilitate and manage negotiation calls
Escalate non-standard positions, such as liability caps, indemnities, liquidated damages and IP, to the Legal team or external counsel with a clear summary of the issue
Manage contract execution end to end, including approvals in line with the delegation of authority, signature routing and version control
Maintain the procurement contract repository, tracking key dates, renewals, expiries, insurance certificates and contractual obligations, and flagging upcoming actions to the relevant Category Manager.
Work with Procurement Global operations to agree technology strategy
Build and maintain Volta's procurement contract templates, clause library and negotiation playbooks, capturing lessons learned and guiding procurement colleagues on their use
Provide contract status and pipeline reporting to the VP, Vendor Procurement
What You Will Bring
A paralegal, chartered legal executive or contracts qualification (for example CILEx, a law degree, or SQE or LPC study), or equivalent experience gained in a commercial contractsrole
4 or more years drafting, reviewing and negotiating commercial contracts, ideally in procurement, data centre or large scale infrastructure
Hands on experience with NDAs, MSAs, framework agreements and supply contracts, and a working knowledge of standard form construction contracts such as NEC, JCT, FIDIC or AIA
A solid understanding of key commercial risk areas, including liability, indemnities, insurance, warranties, payment terms, termination and intellectual property, and the judgement to know when to escalate
Experience working under the supervision of in house or external lawyers while managing a high volume of agreements to deadline, ideally using contract lifecycle management and electronic signature tools
Precise drafting, exceptional attention to detail and clear communication with commercial, technical and supplier stakeholders
Exposure to both UK or European and US contracting would be an advantage
